Acceptance of Terms
By accessing and using the services of Guangdong XC Machinery Industrial Co., Ltd. ("XC Machinery," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.
If you do not agree to abide by the above, please do not use our services or purchase our products.

Services Description
XC Machinery provides manufacturing and supply of industrial equipment including:
- Filling machinery and sealing equipment
- Spout pouch filling capping machinery
- Depositor moulding machinery
- Packing machines and process machinery
- Plastic machinery and packing materials
- Technical consultation and support services
- Production formulas and technological processes

Order and Payment Terms
Orders
- • All orders are subject to acceptance by XC Machinery
- • Specifications and pricing are confirmed in writing
- • Custom orders may require additional lead time
Payment
- • Payment terms are specified in each contract
- • Advance payment may be required for custom orders
- • Late payments may incur additional charges

Delivery and Risk Transfer
Delivery terms are specified in each sales contract and typically follow Incoterms standards. Risk of loss or damage transfers to the buyer upon delivery according to the agreed terms.
XC Machinery will make reasonable efforts to meet delivery schedules but is not liable for delays caused by circumstances beyond our control.

Warranties and Disclaimers
Limited Warranty: XC Machinery warrants that our products will be free from defects in materials and workmanship under normal use for the period specified in the product documentation.
Disclaimer: Except as expressly stated herein, all products and services are provided "as is" without warranties of any kind, either express or implied.

Limitation of Liability
In no event shall XC Machinery be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our products or services.
Our total liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

Intellectual Property
All intellectual property rights in our products, services, technology, and documentation remain the property of XC Machinery or our licensors.
Customers are granted a limited, non-exclusive license to use our products in accordance with the terms of sale and applicable documentation.

Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of business relationship.
This obligation survives termination of any agreement between the parties.

Governing Law and Disputes
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any disputes arising from these terms or our business relationship shall be resolved through good faith negotiation or, if necessary, through appropriate legal proceedings in Shantou, China.

Modifications to Terms
XC Machinery reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website and take effect immediately upon posting.
Continued use of our services after any such changes constitutes your acceptance of the new Terms of Service.
